1. Acceptance of Terms

By accessing or using any website, game, tool, application, or other service operated by Grande Web Network (collectively, "the Services"), you agree to be bound by these Terms of Use, our Privacy Policy, and any additional guidelines or rules posted on individual Services.

If you do not agree to these Terms, you must immediately discontinue use of all GWN Services. Your continued use of any GWN Service after any modification to these Terms constitutes your acceptance of the modified Terms.

2. Description of Services

Grande Web Network operates a family of free-to-access web services primarily focused on word games, language tools, educational content, entertainment, and lifestyle resources. Our Services include:

Most GWN Services are provided free of charge, supported by advertising revenue. Certain premium features, ad-free experiences, or member-only content may be available through paid subscriptions via aMember Pro.

Service Availability

We strive to maintain high availability across all Services but do not guarantee uninterrupted access. We reserve the right to modify, suspend, or discontinue any Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.

3. Eligibility & Age Requirements

By using our Services, you represent and warrant that:

• You are at least 13 years of age;
• You have the legal capacity to enter into a binding agreement;
• Your use of our Services does not violate any applicable law or regulation in your jurisdiction;
• If you are using our Services on behalf of an organization, you have the authority to bind that organization to these Terms.

EU/EEA Users Under 16

If you are located in the European Economic Area (EEA), you must be at least 16 years of age (or the applicable age of digital consent in your country) to consent to data processing. Users between 13 and 16 in the EEA require parental or guardian consent.

4. User Accounts

Some GWN Services require you to create an account to access member-only features. When you register for an account, you agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information to keep it accurate;
• Maintain the confidentiality of your password and account credentials;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately at [email protected] of any unauthorized use of your account.

Account Security

You are responsible for maintaining the security of your account. We recommend using a strong, unique password and enabling any available two-factor authentication features. We will not be liable for any loss resulting from unauthorized use of your account credentials.

Subscriptions & Billing

If you purchase a paid subscription, the following applies:

• Subscription fees are processed through Stripe and are charged in advance on a recurring basis (monthly or annual, as selected).
• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time via your account settings or by contacting us.
• Refunds may be issued at our discretion for unused portions of prepaid subscriptions. We do not automatically issue refunds upon cancellation.
• We reserve the right to change subscription pricing with 30 days' notice to active subscribers.

5. User Conduct

You agree to use our Services only for lawful purposes and in a manner consistent with these Terms. You agree not to:

• Use our Services to engage in any illegal activity or to violate any applicable law or regulation;
• Scrape, crawl, spider, or use automated bots, scripts, or tools to extract content or data from our Services without our express written permission;
• Attempt to gain unauthorized access to any portion of our Services, server systems, or networks;
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of any GWN software;
• Transmit any viruses, malware, ransomware, or other harmful or disruptive code;
• Interfere with or disrupt the integrity, performance, or availability of our Services or infrastructure;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Use our Services in any manner that could damage, disable, overburden, or impair our servers or networks;
• Harvest or collect email addresses or other contact information from our Services for unsolicited commercial purposes;
• Use our Services to send spam, unsolicited advertisements, or chain letters;
• Post or transmit any content that is defamatory, obscene, abusive, threatening, or otherwise objectionable;
• Attempt to bypass or circumvent any access controls, rate limits, or security measures;
• Use our game Services in any way that constitutes cheating, exploiting bugs, or undermining fair play for other users.

We reserve the right to investigate and take appropriate action against any user who, in our sole discretion, violates this section, including removing content, suspending or terminating accounts, and reporting to law enforcement authorities.

6. Intellectual Property

Our Content

All content on GWN Services — including but not limited to text, articles, educational materials, game code, game art, graphics, logos, user interface designs, software, word lists, wine pairing data, and the compilation and arrangement of all content — is the property of Grande Web Network / Scott Gilley or its content suppliers, and is protected by United States and international intellectual property laws.

GWN grants you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for personal, non-commercial purposes only. This license does not include the right to:

• Reproduce, distribute, or publicly display our content beyond individual personal use;
• Create derivative works based on our content without express written permission;
• Use our content for commercial purposes;
• Remove or alter any copyright, trademark, or other proprietary notices.

Trademarks

The GWN brand, "Grande Web Network," and all associated logos and product names are trademarks or service marks of Scott Gilley / Grande Web Network. Nothing in these Terms grants you any right to use our trademarks without prior written permission.

Third-Party Content

Some content on our Services may be sourced from publicly available dictionaries, open databases, or licensed data sources. Where applicable, attribution is provided. We respect the intellectual property rights of third parties and expect our users to do the same.

7. User-Submitted Content

Some GWN Services may allow you to submit, post, or share content such as reviews, comments, feedback, or game scores ("User Content"). By submitting User Content, you:

• Grant GWN a worldwide, royalty-free, perpetual, irrevocable, non-exclusive license to use, reproduce, modify, adapt, publish, translate, and display such User Content in connection with our Services;
• Represent that you own or have the necessary rights to the User Content and that it does not infringe any third party's intellectual property rights, privacy rights, or applicable law;
• Agree that GWN may remove any User Content at its sole discretion, without notice, for any reason.

You retain ownership of your User Content. The license above ends when you delete your User Content or account, except to the extent it has been shared with third parties or incorporated into our Services in ways that cannot be reversed.

8. Advertising & Third-Party Links

Advertising

Our Services are primarily funded by display advertising. Advertisements are served by third-party ad networks including Google Ad Manager, Google AdSense, Amazon Publisher Services (APS), UDM Serve, and PixFuture. We do not endorse the products or services advertised, and we are not responsible for the content of advertisements.

Our Services may contain links to third-party websites, services, or resources. These links are provided for your convenience only. GWN has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party sites. We encourage you to review the terms and privacy policies of any third-party sites you visit.

Affiliate Relationships

Some links in our content may be affiliate links, meaning GWN may receive a commission if you make a purchase through those links. Affiliate relationships do not affect our editorial independence, and we only recommend products and services we believe are genuinely useful.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT;
• WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
• WARRANTIES AS TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY CONTENT;
• WARRANTIES THAT DEFECTS WILL BE CORRECTED;
• WARRANTIES THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

It does not constitute professional advice of any kind (medical, legal, financial, dietary, or otherwise). Word Game Content

Our word lists, dictionaries, and Scrabble/word game tools are based on publicly available word lists including NWL 2023. We make no warranty that these lists are complete, accurate, or reflect the official rules of any particular game, tournament, or competition.

EU/UK Consumer Note

Nothing in this disclaimer affects any statutory rights you may have as a consumer under EU or UK law. Mandatory statutory protections under applicable consumer law are not excluded by these Terms.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GRANDE WEB NETWORK, SCOTT GILLEY, OR ANY OF OUR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE TO YOU OR ANY THIRD PARTY FOR:

• ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
• LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES;
• COST OF SUBSTITUTE GOODS OR SERVICES;
• ANY DISRUPTION OR INTERRUPTION IN ACCESS TO OUR SERVICES;
• ANY ERRORS, INACCURACIES, OR OMISSIONS IN ANY CONTENT;

Aggregate Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO GWN IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (USD $100).

Essential Basis

The limitations of liability in this section reflect the allocation of risk between us and form an essential basis of the bargain between us. GWN would not be able to provide the Services at no cost to you (or at low cost) without these limitations. Some jurisdictions do not allow certain limitations of liability — in such jurisdictions, our liability is limited to the maximum extent permitted by law.

EU/UK Consumer Note

For users in the EU or UK, nothing in this limitation excludes GWN's liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under applicable consumer law.

11. DMCA & Copyright Complaints

Grande Web Network respects the intellectual property rights of others and complies with the Digital Millennium Copyright Act (DMCA). If you believe that content on our Services infringes your copyright, please send a written notice to our designated agent containing the following information:

1. A physical or electronic signature of the copyright owner or an authorized representative;
2. Identification of the copyrighted work claimed to have been infringed;
3. Identification of the material claimed to be infringing, with sufficient information to locate it on our Services (URL or description);
4. Your contact information (name, address, telephone number, and email address);
5. A statement that you have a good-faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or applicable law;

Upon receiving a valid DMCA notice, we will promptly remove or disable access to the allegedly infringing content and notify the content provider, who may submit a counter-notification. Repeated infringers may have their accounts terminated.

Counter-Notification

If you believe that your content was removed as a result of a mistake or misidentification, you may submit a counter-notification to the DMCA agent above containing your contact information, identification of the removed material, a statement under penalty of perjury that the material was removed by mistake, and consent to the jurisdiction of federal court in your district.

12. Account Termination

Termination by You

You may discontinue use of our Services at any time. If you have a member account, you may close your account by contacting us at [email protected] or through your account settings where available. Cancellation of a paid subscription does not automatically close your account.

Termination by GWN

We reserve the right to suspend or terminate your access to any or all of our Services, with or without cause, and with or without notice, at our sole discretion. Grounds for termination include but are not limited to:

• Violation of these Terms or any applicable law;
• Engaging in fraudulent, abusive, or harmful activity;
• Repeated intellectual property infringement;
• Failure to pay subscription fees when due;
• Requests from law enforcement or government agencies;
• Technical or security reasons at our discretion.

Effect of Termination

Upon termination of your account, your right to use the Services immediately ceases. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability. We may retain certain data as required by law or for legitimate business purposes following account closure.

13. EU & UK Consumer Rights

If you are located in the European Union, European Economic Area (EEA), or the United Kingdom, you have additional rights as a consumer under applicable law that supplement these Terms. In the event of any conflict between these Terms and applicable mandatory consumer protection law in your jurisdiction, the mandatory law will prevail.

Right of Withdrawal (Cooling-Off Period)

EU Consumer Rights Regarding Digital Content

Under the EU Digital Content Directive (2019/770), if paid digital content or services do not conform to the contract, you have the right to:

• Have the content or services brought into conformity;
• Receive a proportionate price reduction;
• Terminate the contract and receive a full refund.

EU Online Dispute Resolution

If you are an EU consumer and you have a complaint about our Services, you may be able to submit it through the European Commission's Online Dispute Resolution (ODR) platform at ec.europa.eu/consumers/odr/. Our email for ODR purposes is [email protected].

UK Consumer Rights Act 2015

UK consumers have rights under the Consumer Rights Act 2015. Digital content must be of satisfactory quality, fit for purpose, and as described. If paid digital content does not meet these standards, you may be entitled to a repair, replacement, or refund.

Applicable Law for EU/UK Consumers

While these Terms are governed by the laws of the State of Alabama (see Section 14), nothing in these Terms limits or waives your rights under the mandatory consumer protection laws of your country of residence. The courts of your country may have jurisdiction over claims you bring against us as a consumer.

14. Governing Law & Disputes

Governing Law

These Terms and any dispute arising out of or related to your use of GWN Services shall be governed by and construed in accordance with the laws of the State of Alabama, United States of America, without regard to its conflict of law principles.

Jurisdiction

Subject to the consumer rights provisions in Section 13 (for EU/UK users), you irrevocably agree that any legal action or proceeding arising out of or related to these Terms or our Services shall be brought exclusively in the federal or state courts located in the State of Alabama, and you consent to the personal jurisdiction of such courts.

Informal Resolution

Before initiating any formal legal action, you agree to first contact us at [email protected] and provide a written description of the dispute, the relief sought, and your contact information. We will attempt in good faith to resolve the dispute informally within 30 days of receipt.

Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST GWN. This waiver does not apply where prohibited by mandatory consumer protection law in your jurisdiction.

Statute of Limitations

Any claim arising from or related to your use of our Services must be commenced within one (1) year after the cause of action accrues, regardless of any statute of limitations to the contrary, except where applicable consumer law provides a longer period.

We reserve the right to modify these Terms of Use at any time. When we make changes, we will:

Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that the remaining provisions of these Terms remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision unless acknowledged and agreed to by us in writing.
